Terms of Service

The rules, rights, and responsibilities for using ChatForge.

1. Acceptance of Terms

By accessing or using ChatForge ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms form a legally binding agreement between you ("you", "your") and ChatForge ("we", "us", "our"). By creating an account, you confirm that you have the legal capacity to enter into this agreement.

If you are using the Service on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

ChatForge provides a multi-channel AI chatbot builder platform that enables users to create, configure, and deploy AI agents across communication channels including Telegram, WhatsApp, Discord, Slack, email, voice, and webchat.

The Service includes:

  • AI agent configuration (persona, prompts, knowledge documents, quick-reply buttons)
  • Channel integrations (Telegram, WhatsApp, Discord, Slack, email, webchat, voice)
  • Real-time AI response generation via OpenAI (processed through Polsia proxy)
  • Conversation history and analytics
  • Lead capture and CRM integration tools
  • Live API integration for enterprise customers
  • Data storage and message logging

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable.

3. Account Registration & Responsibilities

To use ChatForge, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate
  • Keep your password secure and not disclose it to any third party
  • Accept responsibility for all activity under your account
  • Notify us immediately of any unauthorised use of your account

You must be at least 16 years old to create an account. The Service is not intended for use by children under 16.

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Acceptable Use

You agree NOT to use the Service to:

  • Send unsolicited marketing or spam messages
  • Impersonate any person or entity, or falsely represent your affiliation
  • Generate content that is defamatory, abusive, obscene, or illegal
  • Harass, threaten, or intimidate any individual
  • Distribute malware, viruses, or any malicious software
  • Attempt to gain unauthorised access to any system or network
  • Use the Service for any illegal purpose or in violation of applicable laws
  • Use AI agents to engage in deceptive trade practices
  • Send mass messages to channels or groups without prior authorisation
  • Circumvent rate limits or use the API in a manner that disrupts Service quality

You are responsible for ensuring your AI agents comply with the policies of the platforms they operate on (e.g., Telegram, WhatsApp, Discord, Slack). Violations of third-party platform policies may result in your bots being banned from those platforms — we are not liable for such outcomes.

5. Plans, Pricing & Payment

ChatForge offers subscription plans as described on our pricing page at chatforge.live/pricing.

5.1 Billing Cycle

Subscriptions are billed monthly or annually in advance. Annual subscriptions receive a discount as indicated on the pricing page. All prices are in US Dollars (USD) unless otherwise stated.

5.2 Payment

Payments are processed via Stripe. By providing payment information, you authorise Stripe to charge your payment method for all applicable fees. You must have a valid payment method on file to maintain your subscription.

5.3 Failed Payments

If a payment fails, we will attempt to collect the payment again. If payment remains outstanding for 14 days, we may suspend your account. Access will be restored once payment is received in full.

5.4 Price Changes

We may change pricing for future billing periods with at least 14 days' notice before the start of the next billing cycle. Price changes take effect at the next renewal date and do not apply to the current billing period.

5.5 Upgrades

Upgrading your plan takes effect immediately. You will be charged the prorated difference for the remainder of the current billing cycle.

5.6 Downgrades & Cancellations

You may downgrade or cancel your subscription at any time from your account settings. Downgrades take effect at the end of the current billing period. Cancellations result in loss of access to paid features at the end of the paid period — your account reverts to the free tier.

No refunds are provided for partial months or unused time, except where required by applicable law.

6. Free Trial

ChatForge may offer a free trial period. During the trial:

  • You have access to selected paid features
  • No payment is required to start
  • If you do not subscribe before the trial ends, your account may be suspended or downgraded
  • Trial terms may be limited to one per user or organisation

We reserve the right to modify or discontinue trial offers at any time.

7. Service Availability

We aim for high availability but do not guarantee uninterrupted access to the Service. We do not guarantee specific uptime percentages or response times.

The Service may be temporarily unavailable due to:

  • Planned maintenance (we will provide reasonable notice where possible)
  • Emergency maintenance or security patches
  • Third-party service outages (OpenAI, Twilio, Stripe, etc.)
  • Circumstances beyond our control

We are not liable for any losses arising from Service downtime. If we experience extended downtime (more than 72 continuous hours), affected customers may contact us for service credits at our discretion.

8. Data & Security

You retain ownership of all data you provide to ChatForge, including conversation logs, lead data, and AI agent configurations. We process this data to provide the Service as described in our Privacy Policy.

You are responsible for:

  • The content and configuration of your AI agents
  • Ensuring your use of the Service complies with applicable data protection laws (including GDPR)
  • The security of your account credentials and channel API keys
  • Backing up your own data where required

Channel credentials you provide (Telegram tokens, WhatsApp API keys, etc.) are stored encrypted using AES-256-GCM. We are not liable for losses arising from compromised credentials.

9. Intellectual Property

9.1 Our IP

ChatForge, including its code, design, branding, and documentation, is owned by ChatForge. You are granted a limited, non-exclusive, revocable licence to use the Service. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

9.2 Your Content

You retain ownership of all content you create or upload, including AI agent personas, system prompts, knowledge documents, and conversation data ("Your Content"). By using the Service, you grant us a licence to process, store, and display Your Content as necessary to provide the Service.

9.3 AI-Generated Content

Responses generated by AI agents are produced by OpenAI's language models. Ownership of AI-generated content depends on applicable law and the specific content in question. You acknowledge that AI-generated responses may be inaccurate, incomplete, or subject to errors — you use them at your own risk.

9.4 Third-Party Content

Third-party platform content (messages from Telegram, WhatsApp, Discord, etc.) is owned by the respective platform operators and is subject to their terms of service.

10. Limitation of Liability

To the maximum extent permitted by law, ChatForge is provided "as is" and "as available" without warranties of any kind.

We are not liable for:

  • Any indirect, incidental, consequential, special, or exemplary damages, including loss of profits, revenue, data, or business opportunities
  • Damages arising from your reliance on the Service or any AI-generated content
  • Actions taken by third-party platforms (Telegram, WhatsApp, Discord, etc.) against your bots or accounts
  • Service downtime, data loss, or security breaches beyond our control
  • Mistakes in AI responses, including factual errors, hallucinations, or inappropriate content
  • Damages arising from your failure to secure your account credentials
  • Your violation of these Terms or applicable law

Our total aggregate liability under these Terms shall not exceed the amount of fees you paid to us in the 12 months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of liability. If you are in such a jurisdiction, the above limitations may not apply to you, and our liability is limited to the maximum extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless ChatForge, its operators, affiliates, and agents from and against any claims, losses, damages, liabilities, costs, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights (including platform ToS or privacy rights)
  • Your AI agents' messages or actions
  • Any false or misleading content distributed through the Service

We reserve the right, at your expense, to assume the exclusive defence and control of any matter subject to indemnification by you, and you agree not to settle any such matter without our prior written consent.

12. Termination

12.1 Termination by You

You may cancel your account at any time via your account settings. Cancellation takes effect at the end of your current billing period. Your data will be retained for 30 days after cancellation, after which it will be deleted in accordance with our data retention policy.

12.2 Termination by Us

We may suspend or terminate your account immediately, without notice, if you:

  • Violate these Terms or any applicable law
  • Use the Service in a manner that harms ChatForge, other users, or third parties
  • Fail to pay fees when due
  • Engage in fraudulent activity

12.3 Effect of Termination

Upon termination, your access to the Service ceases. Sections 4 (Acceptable Use), 5 (Payment — outstanding fees), 9 (Intellectual Property — Your Content licence to us), 10 (Limitation of Liability), 11 (Indemnification), and 14 (Governing Law) survive termination.

13. Modifications to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. For material changes, we will notify you by email to the address on your account.

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your account.

14. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer located in a jurisdiction with mandatory consumer protection laws, those laws apply to the extent they cannot be waived by agreement.

Before filing a formal claim, you agree to contact us and attempt to resolve any dispute informally. We will make reasonable efforts to resolve disputes through good-faith negotiation.

15. General Provisions

Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and ChatForge regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remainder of the Terms remains in full force and effect.

Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment: We may assign these Terms at any time. You may not assign these Terms without our written consent.

Force majeure: We are not liable for failures or delays caused by circumstances beyond our reasonable control, including natural disasters, acts of war, government action, or infrastructure failures.
